Terms of Service

1. Acceptance of terms

By accessing or using Workout Studio, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service. If you use the service on behalf of a gym, coaching business, or other organization, you represent that you have authority to bind that organization to these Terms.

2. The service

Workout Studio provides training-app and program-marketplace features, including workout programming, sessions, results and personal records, benchmarks, wellness check-ins, wearable-device integrations, and a marketplace where coaches and gyms can sell programs to individuals and other gyms. Features and availability may change over time.

3. Accounts and eligibility

You must be at least 16 years old (or the minimum age required by local law) to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Acceptable use

You agree not to:

• Use the service for any unlawful, harmful, fraudulent, or infringing purpose.
• Attempt to access accounts, data, or systems you are not authorized to access.
• Interfere with, disrupt, or reverse-engineer the service or its infrastructure.
• Upload content that is illegal, defamatory, harassing, or infringes intellectual property.
• Use automated systems to scrape or extract data without our written consent.
• Resell, sublicense, or redistribute the service without authorization.

5. Marketplace terms

Vendors (coaches and gyms) can list programs and subscriptions for sale to buyers (individuals and other gyms). By listing or purchasing on the marketplace you agree that:

• Platform fee: Workout Studio retains a 10% platform fee on each sale. Vendors receive 90% of the sale price.
• Payouts: Payouts are processed via Stripe. Vendors must complete Stripe onboarding to receive funds. Payouts typically occur 7 days after a successful sale, once Stripe holds clear.
• Refunds: Refunds granted within 14 days of purchase are deducted from the vendor's next payout.
• Currency: Currencies follow the vendor's Stripe account; conversions use Stripe's daily rate.
• Vendor content: Vendors are responsible for the accuracy, legality, and safety of the programs they publish, including any exercise, dietary, or health-related claims.
• Buyer license: Purchasing a program grants a personal, non-transferable license to use it. Reselling, redistributing, or publicly sharing purchased programs is prohibited.

6. Wearable and third-party integrations

Workout Studio integrates with third-party services such as Fitbit, Whoop, Apple Health, and Google Health Connect. When you connect a device or service, you authorize us to exchange data with that provider according to the permissions you grant. You can disconnect integrations at any time. Third-party services are governed by their own terms and privacy policies, which we do not control.

7. Your content

You retain ownership of the content you submit to the service (workouts, results, programs, images, feedback, etc.). You grant Workout Studio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your content solely to operate and improve the service. You represent that you have the rights necessary to grant this license.

8. Intellectual property

The Workout Studio service, including its software, design, trademarks, and content (excluding user content), is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to use our trademarks or branding without prior written permission.

9. Health and fitness disclaimer

Workout Studio is not a medical service and does not provide medical advice, diagnosis, or treatment. Consult a qualified physician before beginning any exercise program, especially if you have a pre-existing medical condition, injury, or concern. You are solely responsible for your training decisions and for exercising within your safe limits. Wellness scores, readiness metrics, and other analytics are informational and should not be relied on as medical guidance.

10. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of liability

To the maximum extent permitted by law, Workout Studio and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or related to your use of the service. Our total aggregate liability for any claim arising out of or relating to the service will not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) AUD 100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Workout Studio from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the service, your content, or your violation of these Terms.

13. Termination

You may stop using the service at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, if required by law, or to protect the service or other users. On termination, provisions that by their nature should survive (including intellectual property, disclaimers, and limitations of liability) will remain in effect.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email before the changes take effect. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of [Your jurisdiction], without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the service will be resolved in the courts located in [Your jurisdiction], unless a different forum is required by mandatory local law.
